Ryvix Terms of Service

Terms of Service.

Last updated: October 5, 2026

These Terms of Service ("Terms") are a contract between you and Ryvix ("Ryvix," "we," "us") for the Ryvix shared power-bank unit, the Ryvix software, and the Ryvix website and account (together, the "Service").

By creating an account, checking the acceptance box, paying for a unit, or using the Service, you agree to these Terms. If you do not agree, do not sign up and do not use the Service.

Ryvix is a hardware sale plus a monthly software subscription. You keep rental revenue while your subscription is current. If the subscription is not paid, the revenue split in Section 6 applies. We cannot remotely shut the unit off.

1. Who can sign up

You must be at least 18 and able to enter a contract. If you sign up for a business, you confirm you can bind that business. The business is the customer.

2. The offer

3. Account

You must give a real name, business name, email, phone, and payment method. You are responsible for activity on your account and for keeping the login private. Tell us right away if you think the account was used without permission.

4. Hardware

The unit is an indoor shared power-bank station. You are responsible for a safe install, power, a level floor, and a location guests can use. You must not modify the locks, payment hardware, or software in a way that hides rentals or blocks our reporting.

You handle day-to-day care: power, cleanliness, and telling us if a bank or slot fails. Replacement banks, if offered, are billed at the price we publish at the time.

5. Subscription

The $70 monthly fee starts when the unit is activated or on the date shown at checkout, whichever we state in the order.

The fee pays for software access, account access, and basic support. It is not a revenue share while it is paid.

You can cancel the subscription in your account. Cancellation stops future monthly charges. It does not by itself refund the $499. If you cancel and keep the unit, Section 6 applies to rentals after the paid period ends.

Failed payment, chargeback, or an expired card means the subscription is not paid.

6. If the subscription is not paid

We cannot disable the unit. If the monthly fee is unpaid, this split applies until the past-due amount is paid in full:

"Rental revenue" means amounts successfully charged to guests for rentals on that unit, after processor fees.

This split does not start the moment a payment fails. It takes 1 to 3 business days after we mark the subscription unpaid for the split to go into effect. Business days are Monday through Friday, excluding U.S. federal holidays.

We will email the address on the account when we mark the subscription unpaid and again when the split is in effect. Timing still runs even if the email is not opened.

When you pay the past-due subscription in full, the 95% split stops. Stopping the split can also take 1 to 3 business days after we receive the payment. Rentals in that window stay on the 95% split.

You authorize us, and the payment setup on the unit, to route or settle 95% of those rentals to Ryvix while the split is in effect. If a rental lands in your account anyway, you owe us 95% of it and must pay it within 7 days of our invoice.

This section is how we handle a lapsed subscription. It is not a remote shutoff.

7. Your price and guests

You choose the hourly price unless we require a posted range. You are responsible for the price shown on the unit matching what the guest is charged. Guest disputes about a rental you priced are yours to handle, except where the dispute is caused by our software error.

8. Returns

If you no longer want the unit, you may return it for 25% of the purchase price.

On a $499 purchase, the return amount is $124.75 per unit, unless your invoice shows a different purchase price. In that case the return amount is 25% of the price you actually paid for that unit.

To return a unit:

A return is the only hardware refund. The $499 is otherwise non-refundable.

9. Payments to us

You authorize the card or bank account on file for the hardware charge, the monthly fee, past-due fees, and any amount you owe under Section 6. We may retry a failed subscription charge. We may use a third-party processor. Their terms also apply to the payment.

10. Acceptable use

You will not:

We may close the account for a serious breach. Closing the account does not erase amounts already owed.

11. Support

Basic support is by email or the account portal during posted hours. We aim to answer within 2 business days. Replacement parts, on-site visits, and overnight bank shipments may cost extra. We do not guarantee a specific number of rentals.

12. Downtime and changes

The software and payment network can go down. We are not liable for lost rentals during downtime, processor outages, power loss, or internet loss at your location. We may update the software and these Terms. If we change the price or the 95% split, we will email you at least 15 days before it applies to you. Continued use after that date is acceptance. If you do not accept, return the unit under Section 8.

13. Disclaimers

The Service is provided as is. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent the law allows. We do not warrant uninterrupted rentals or a minimum income.

14. Limit of liability

To the extent the law allows, Ryvix is not liable for indirect, incidental, special, or lost-profit damages. Our total liability for a claim about a unit is limited to the amount you paid us for that unit and its subscription in the 3 months before the claim. This limit does not apply where the law forbids it.

15. Your responsibility

You will cover Ryvix for claims by a guest or venue that come from how you placed, priced, or maintained the unit, or from your breach of these Terms, except to the extent caused by our software error.

16. Privacy

We collect account details, unit serials, subscription status, and rental totals needed to run the Service and apply Section 6. We do not sell your personal information. Payment card data is handled by the processor, not stored by us in full. See the privacy note on the site for what the account stores.

17. Law

These Terms are governed by the laws of the State of Indiana, without regard to conflict-of-law rules. Disputes go to state or federal courts in St. Joseph County, Indiana, unless we both agree in writing to arbitration.

18. Whole agreement

These Terms plus the checkout page are the whole agreement about the Service. If a section is unenforceable, the rest still applies. We can assign these Terms. You cannot assign the account without our written okay.
